Terms and Conditions
These terms govern your access to and use of Nirai. Please read them carefully. By using the platform you agree to them.

1. Who we are
Nirai is a software platform for coaching institutes, owned and operated by Testware Informatics Private Limited, a company incorporated in India and based in Chennai, Tamil Nadu ("Testware Informatics", "Nirai", "we", "us" or "our"). These Terms and Conditions ("Terms") form a legally binding agreement between you and Testware Informatics.
2. Acceptance of these terms
By creating an account, subscribing to a plan, or otherwise using Nirai, you confirm that you have read, understood and agree to these Terms and to our Privacy Policy and Refund and Cancellation Policy, which are incorporated here by reference. If you do not agree, please do not use the platform. If you are accepting on behalf of an institute or organisation, you confirm that you are authorised to bind that organisation to these Terms.
3. Definitions
"Customer" or "Institute" means the coaching institute or organisation that subscribes to Nirai. "Users" means the administrators, faculty, staff and students the Customer permits to access the platform. "Services" means the Nirai platform, its modules, websites, mobile applications and related support. "Customer Data" means the data an Institute and its Users submit to or generate on the platform.
4. Eligibility and accounts
You must be capable of forming a binding contract under applicable law to use Nirai. You are responsible for keeping your login credentials confidential and for all activity that occurs under your account. Please notify us promptly at [email protected] if you suspect any unauthorised use. Each Institute is responsible for the accounts, roles and permissions it grants to its own Users.
5. Subscriptions, plans and billing
Nirai is offered on subscription plans, and certain features are offered as paid add-ons or on a prepaid credit basis. Fees, inclusions and any usage limits are described on our Pricing page or in a written order. Unless stated otherwise, fees are exclusive of applicable taxes such as GST, which will be charged in addition. Subscriptions renew for successive billing periods until cancelled. Payments are processed by third-party payment gateways, and your use of those services is subject to their own terms. Refunds and cancellations are governed by our Refund and Cancellation Policy.
6. AI features
Nirai includes artificial intelligence features, such as AI-assisted question drafting. AI-generated content is provided as a draft aid only. It may contain errors, and it is not a substitute for professional academic judgement. The Institute and its faculty are solely responsible for reviewing, verifying, editing and approving any AI-assisted content before it is used, published or shared with students. We make no representation that AI-assisted content is accurate, complete, original in every respect, or suitable for any examination, and we do not guarantee any academic or examination outcome.
7. Acceptable use
You agree not to misuse the Services. In particular, you will not: use the platform for any unlawful purpose; upload content that infringes the rights of others or that is unlawful, obscene or harmful; attempt to gain unauthorised access to the platform, other accounts or our systems; interfere with or disrupt the integrity or performance of the Services; reverse engineer or copy the platform except as permitted by law; or resell or provide the Services to third parties except as expressly agreed with us in writing.
8. Customer Data and ownership
As between you and us, the Customer owns its Customer Data. You grant us a limited, non-exclusive licence to host, process and use Customer Data solely to provide and support the Services, to keep them secure, and as otherwise described in our Privacy Policy. Where an Institute collects and manages personal data of its students and staff through Nirai, the Institute is responsible for that data and for obtaining any consents required, and Nirai acts as a processor on the Institute's instructions. You are responsible for the accuracy, quality and legality of your Customer Data and for how you use it.
9. Our intellectual property
The Nirai platform, its software, design, trademarks, logos and all related intellectual property belong to Testware Informatics or its licensors. Nothing in these Terms transfers any ownership of our intellectual property to you. You may use the Services only as permitted by these Terms during your subscription.
10. Third-party services
The Services may integrate with third-party services, such as payment gateways, messaging providers and hosting providers. We are not responsible for third-party services, and their availability and terms are outside our control. Your use of a third-party service is at your own discretion and subject to that provider's terms.
11. Availability and changes to the Services
We work to keep Nirai available and reliable, but we do not warrant that the Services will be uninterrupted, error-free or free of harmful components. We may update, improve or modify features from time to time. We may also carry out maintenance, and we will make reasonable efforts to limit disruption. Any specific service levels apply only if agreed with you separately in writing.
12. Suspension and termination
You may stop using the Services and cancel your subscription as described in our Refund and Cancellation Policy. We may suspend or terminate access if you breach these Terms, fail to pay fees when due, or use the Services in a way that risks harm to the platform, other users or third parties. On termination, your right to use the Services ends. We will make Customer Data available for export for a reasonable period as described in our Privacy Policy, after which we may delete it in the ordinary course.
13. Disclaimers
To the maximum extent permitted by law, the Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Services will meet every requirement or that any result, including any examination or business outcome, will be achieved.
14. Limitation of liability
To the maximum extent permitted by law, Testware Informatics will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, goodwill or business, arising out of or related to your use of the Services. Our total aggregate liability for any claim arising out of or related to these Terms or the Services will not exceed the amount of fees actually paid by you to us for the Services during the twelve months immediately preceding the event giving rise to the claim. Nothing in these Terms excludes any liability that cannot be excluded under applicable law.
15. Indemnity
You agree to indemnify and hold harmless Testware Informatics and its directors, employees and agents from any claims, damages, losses and expenses arising out of your Customer Data, your use of the Services in breach of these Terms, or your violation of any law or the rights of any third party.
16. Force majeure
We will not be liable for any delay or failure to perform caused by events beyond our reasonable control, including acts of God, natural disasters, internet or power failures, actions of third-party providers, government action, or civil disturbance.
17. Governing law and jurisdiction
These Terms are governed by the laws of India. Subject to any applicable law, the courts at Chennai, Tamil Nadu, India will have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the Services.
18. Changes to these terms
We may update these Terms from time to time. When we make material changes, we will update the date at the top of this page and, where appropriate, notify you. Your continued use of the Services after the changes take effect means you accept the updated Terms.
